Introduction

CooperHire is dedicated to revolutionising the recruiting industry by providing innovative end-to-end recruiting solutions to companies and small businesses.



CooperHire provides a comprehensive hiring platform at https://cooperhire.io and https://app.cooperhire.io (hereinafter referred to as "platform") that offers job multiposting services, candidate management, and team collaboration tools for a seamless recruitment experience. Companies can advertise job openings across multiple channels, manage incoming applications in one central location, and foster efficient collaboration among team members. Our services are designed to facilitate the recruitment process for both companies and candidates, by effectively matching suitable candidates and simplifying the job application procedure.



These General Terms and Conditions (hereinafter referred to as "GTC"), the latest version of which can be found at https://cooperhire.io/terms-and-conditions, govern the contractual relationship (all applicable contractual provisions collectively referred to as "user agreement") between end users, i.e., registered companies or their authorised representatives (hereinafter referred to as "Company"), and CooperHire GmbH, Rheinsberger Straße 76/77, C/O Factory Works GmbH, 10115 Berlin, Germany, Chamber of Commerce of Berlin, No. of Registration: HRB 214774 B, Managing Directors: Amar Ahlers, Sohraab Joshi, email: hello@cooperhire.io, Phone: (+49) 17687799534 (hereinafter referred to as "CooperHire").




  1. Subject of Performance & Scope



These GTC apply to all services provided by CooperHire via the platform. CooperHire's primary obligation is to offer the platform "as is" at the time of the Company's registration. The platform enables companies to create profiles, post jobs, receive and manage applications, and get automated candidate suggestions. However, the Company has no right to specific candidate suggestions or platform design/features.



CooperHire may update the platform, add or remove features, or charge fees for certain services, provided it doesn't affect essential contractual obligations and is reasonable for the Company. CooperHire strives to maintain uninterrupted access but technical disruptions may occur. 



These GTC apply exclusively, and any deviating terms from the Company require CooperHire's explicit agreement. CooperHire reserves the right to modify these GTC, effective if the Company doesn't object within one month of notification. If objected, the previous GTC will continue to apply, and CooperHire may terminate the contract within two weeks of receiving the objection. This right to change excludes modifications related to essential contractual obligations.



2. Account Creation and Platform Access



Businesses or their authorised representatives can register on the CooperHire platform. The registering Company must use a company email address and provide accurate information on the registration form, keeping it up-to-date. The Company must agree to the Terms and Conditions.



CooperHire verifies the submitted information using a double opt-in procedure. If the information is accurate and no concerns arise, CooperHire activates the company profile, sends a confirmation email, and the Company can personalise its profile. Activating a profile doesn't entitle the Company to any claims.



The Company is responsible for complying with data protection requirements when adding employee user accounts, ensuring lawful data processing and obtaining employee consent.




3. Company Rights and Responsibilities

The Company must maintain the confidentiality of its login information and share it only with authorised employees. If misuse or potential misuse of login details occurs, the Company must inform CooperHire immediately.



The Company is responsible for keeping its profile and job advertisements up to date and ensuring compliance with current laws and legal provisions. The Company must not circumvent CooperHire services, such as posting alternative job application methods or contact information through the platform.



CooperHire considers content published via the platform as third-party content and assumes no responsibility for its completeness, accuracy, or legality. The Company can archive outdated job advertisements by changing their status in profile management.



The Company is responsible for its posted content and must ensure that it doesn't violate any laws or third-party rights, including intellectual property rights and copyrights. Uploading or sharing illegal, offensive, or discriminatory content or unauthorised third-party trademarks and logos is prohibited.



The Company must comply with data protection regulations when using the platform, especially when handling personal data obtained through it. If the Company uses the automated rejection feature for applicants, CooperHire only acts as a technical service provider, with the Company being solely responsible for the content and legal compliance of these automated rejections.




4. Rights and Obligations of CooperHire



CooperHire serves as a technical software and platform provider connecting job seekers and companies globally. In line with the user agreement, CooperHire fulfils its obligations by providing the platform's functionalities. CooperHire doesn't place applicants and is not responsible for the application and staffing process outcomes.



CooperHire isn't required to proactively monitor published information or content for accuracy, completeness, or legality. However, it reserves the right to randomly check job advertisements for legal compliance. If violations are suspected, CooperHire can take measures outlined in paragraph 4.



CooperHire will regularly inform the Company via email about platform activities, including job advertisements, account status, bookings, received applications, and the application process.



CooperHire may impose sanctions on the Company if it violates the GTC or current laws, considering the severity of the violation. Sanctions remain in place until the Company stops the sanctioned action and eliminates any risk of recurrence. Possible sanctions include: (i) deactivating or blocking specific Company content or services, (ii) deleting Company-posted content, (iii) blocking access to the platform and company profile, and (iv) deleting the Company's account or terminating the user agreement. This does not affect CooperHire's right to extraordinary termination for good cause per Section 7 Paragraph 4 or the assertion of further claims.




5. Subscription Models and Billing



Besides the free platform service, CooperHire offers fee-based additional services (subscription models), primarily to expand job advertisement reach (multi-postings) and manage applications (applicant management tool). These services are activated upon booking and payment. Subscription model details, including pricing, content, duration, payment, and termination, are transparently displayed on the platform.



Prices for subscription models are listed excluding VAT.



When using subscription models to publish content on third-party platforms, the Company must comply with the respective third-party provider's terms of use. Violations may result in content being blocked or deleted by the third-party provider.



To book a subscription model, the Company selects the desired model, adds it to the cart, and proceeds to checkout. After entering billing information and placing the order, a contract for the selected subscription model is concluded upon receiving booking confirmation from CooperHire.



Billing for booked subscription models is done digitally, with no paper invoices issued. Invoices are either emailed to the Company or stored on the platform within the company profile.



CooperHire may charge for individual services in the future. The Company will be informed before using any fee-based additional service and must confirm awareness of the payment obligation and costs, agreeing to the use of the fee-based service.




6. Usage Rights



The Company grants CooperHire a non-exclusive, geographically and temporally unrestricted right to use content provided in the company profile and job advertisements, such as images, logos, texts, and data generated during application management, for contract purposes. This includes the right to modify content, resizing or altering image colours to display them appropriately in the profile. Unless explicitly stated in these Terms and Conditions, the Company is not granted any usage rights to CooperHire's intellectual property.




7. Duration and Termination



The user agreement begins when it takes effect according to Section 2 and lasts for an indefinite period.



The Company may terminate the user agreement at any time without notice by sending an email with the subject "Termination" to hello@cooperhire.io. Subscription models can be terminated at the end of the respective contract period with a notice period by sending an email expressing the termination request to hello@cooperhire.io. Terminating a subscription model does not automatically end the user agreement.



The company profile can be deleted anytime by sending an email with the subject "Delete" to hello@cooperhire.io. Deleting the company profile does not impact existing subscription models.



Upon company profile deletion, all job advertisements created and published on the platform will be deactivated, and all received applications and data stored in the company profile will be permanently deleted. This does not apply to data subject to legal retention requirements or necessary for CooperHire to fulfil contractual obligations.



CooperHire may terminate the user agreement with a one (1) month written notice period (email).



The right to terminate for good cause remains unaffected. Good cause entitling CooperHire to terminate includes the Company's culpable violation of the essential provisions of these Terms and Conditions. CooperHire also reserves the right to terminate the user agreement if there is a change of control at the company, whereby the majority of voting rights are transferred to a third party, enabling them to directly determine the decision-making process of the corporate bodies.



8. Data Protection and Security



CooperHire ensures an adequate level of data protection for all data processing related to the platform. Specific details about the data processing can be found in the most recent version of the Privacy Policy.



Regarding the processing of submitted and locally stored applicant data, the Company's responsibilities are in line with Article 4 No. 7 GDPR. The Company is accountable for ensuring compliance with current data protection regulations, safeguarding the rights of the concerned individuals. This includes ensuring that (1) information obligations towards applicants and employees are met, (2) adding more employees to the company profile is legally compliant, and (3) applicable deletion periods are observed.



If CooperHire acts as a processor for the Company under Article 28 GDPR, the provisions in Appendix 1 regarding order processing shall apply.




9. Liability



CooperHire's liability within the context of platform usage adheres to the following provisions, unless specified otherwise in these GTC:



CooperHire holds unlimited liability for damages caused intentionally or through gross negligence by CooperHire or its representatives, employees, or agents. For damages resulting from the use of free services on the platform, CooperHire is only liable if the Company is not at fault and in cases of intent or gross negligence by CooperHire.



CooperHire is not liable for slight negligence resulting in the violation of insignificant contractual obligations. Beyond that, CooperHire's liability for damages caused by slight negligence is limited to damages typically foreseeable within the contractual relationship.



The above liability limitation does not apply in cases of fraudulent intent, bodily or personal injury, breach of guarantees, or claims arising from product liability.



The Company is solely liable for breaches of obligations, particularly violations of third-party trademarks, copyrights, and naming rights. The Company shall indemnify CooperHire from all payment claims by other companies or third parties asserted against CooperHire due to rights or contract violations by the Company. Upon first request, the Company shall cover all reasonable costs incurred by CooperHire as a result of such infringement. This does not apply if the Company is not responsible for the infringement. Other claims by CooperHire against the Company remain unaffected.



10. Governing Law and Jurisdiction

The contractual relationship between CooperHire and the Company, as well as the services provided by CooperHire, shall be governed exclusively by German law, excluding the UN Convention on Contracts for the International Sale of Goods and conflict of laws.



The sole place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship between CooperHire and the Company shall be the court having jurisdiction for CooperHire's registered office, including for international disputes. CooperHire reserves the right to take legal action against the Company at its general place of jurisdiction.

11. Severability Clause

Should any provision of these GTC or any other agreement referencing them become partially or completely invalid for any reason, or if the GTC contains an omission requiring regulation, the validity of the remaining provisions shall not be affected. In such cases, the parties must replace the invalid or incomplete provision with one that closely aligns with the original intent. Until the replacement is made, statutory regulations shall apply in place of the invalid or missing provision.
